Service Agreement

This Agreement is entered into between you (hereinafter referred to as "you" or "your") and Eggbit. By accessing, using or providing any services on the Eggbit platform or any of its websites (Eggbit.com), mobile applications or other related services provided by Eggbit or any of its affiliates as further described in Section 4 below (hereinafter collectively referred to as the "Service"), you acknowledge that you have read, understood and accepted all the terms and conditions set forth in this Terms of Use Agreement (hereinafter referred to as the "Terms of Use"), as well as our Privacy Statement posted on the Platform. In addition, when using some features of the Service, you may also be subject to additional terms and conditions applicable to those features.

Please read these terms carefully that govern your use of the Service. These Terms of Use contain some important provisions, including an arbitration provision requiring all claims to be resolved by binding arbitration. The arbitration provisions are set forth in Section 15 below, "Dispute Resolution: Venue of Arbitration, Arbitration, Class Action Waiver, Governing Law". Like any asset, the value of financial assets may fluctuate in value and there is a significant risk that you may incur financial losses when buying, selling, holding or investing in financial assets. By using the Service, you acknowledge and agree that: (1) you understand the risks associated with financial asset trading; (2) you bear all risks associated with using the Service and conducting financial asset trading; and (3) Eggbit is not responsible for such risks or adverse outcomes.

By accessing, using or attempting to use the Service in any capacity, you acknowledge and agree to be bound by these Terms of Use. If you do not agree, please do not access or use the Service.

 

1. Agreement Conditions

 

Eggbit reserves the right to determine, modify or change these Terms of Use at any time at its sole discretion. Eggbit will notify you of changes by updating the revised terms on the Platform and revising the [Latest Revision Date] displayed on this page. Any and all modifications or changes to these Terms of Use will be effective immediately after they are posted on the Website or sent to users. Therefore, your continued use of Eggbit's Services constitutes acceptance of the modified Agreement and Rules. If you do not agree to any changes to these Terms of Use, please stop using the Service immediately. Eggbit encourages you to review these Terms of Use frequently to ensure that you understand the terms and conditions that apply to your access and use of the Service.

 

2. Eligibility

 

By registering for an Eggbit Account (as defined in Section 5 below), you represent and warrant that you (1) are 18 years of age or older or otherwise have reached the legal age to form a binding contract under applicable law; (2) are an individual, legal person, or other organization with full legal capacity and authority to enter into these Terms of Use; (3) have not been previously suspended or disqualified from using the Service; and (4) do not currently have an Eggbit Account. If you are an employee or agent of a legal entity and are entering into these Terms of Use on its behalf in that capacity, you represent and warrant that you have all necessary rights and authority to bind such legal entity; and (5) are a non-U.S. user.

 

3. Prohibited Uses

 

By accessing and using the Service, you represent and warrant that you are not listed on any trade or economic sanctions list (such as the United Nations Security Council Sanctions List), are not designated as a "Specially Designated National" by OFAC (U.S. Treasury Department's Office of Foreign Assets Control), or are not listed on the U.S. Department of Commerce's "Denied Persons List". Eggbit reserves the right to select the markets and jurisdictions in which to conduct business and may, at its sole discretion, limit or refuse to provide the Service in certain countries.

 

4. Service Description

 

Eggbit is an online asset trading platform. Eggbit does not provide legal currency trading functions as part of the Service. Eggbit only acts as a trading platform provider, not as a buyer or seller on either side of the transaction. As further detailed in Section 5 below, users must register and open an account with Eggbit and deposit digital assets before commencing trading. Traders may apply to withdraw digital assets, subject to the restrictions set forth in these Terms of Use.

Although Eggbit has been committed to maintaining the accuracy of the information published on the Service, Eggbit cannot and does not guarantee the accuracy, applicability, reliability, completeness, performance or suitability of the content provided through the Service, and does not assume any responsibility for any loss or damage that may be caused directly or indirectly by your use of such content. Information on the Service may change without notice, and the primary purpose of providing this information is to help users make independent decisions. The data displayed on the Eggbit platform is only objective statistics, does not represent investment or consulting advice, and is not responsible for the use or interpretation of information on the platform service or other communication media. All users of the Service must understand that there are risks in digital currency trading. Eggbit hopes that all users will act with caution and trade responsibly to the best of their ability.

 

5. Account Registration and Requirements

 

a. Registration

All users of the Service (hereinafter referred to as "Users") must apply to register an account on Eggbit before using the Service. When registering an account, you must provide your real name, email address and password, and accept these Terms of Use, Privacy Statement and Consent Form. Eggbit may refuse to open an account for you at its sole discretion. You agree to provide complete and accurate information when opening an account, and agree to promptly update any information you provide to Eggbit to maintain the completeness and accuracy of the information. Each registration is for only one user, and each user (including any user belonging to a business or legal entity) can only open one active Eggbit account.

b. User Identity Verification

By registering an account on the Eggbit platform, you agree to provide personal information requested for identity verification. This information is specifically used to discover clues to money laundering, terrorist financing, fraud and other financial crimes conducted on the Eggbit platform. We will collect, use and share this information in accordance with our published Privacy Policy. In addition to providing this information, in order to comply with global industry standards for data retention, you agree to allow us to retain records of this information during the life of your account and for 3 months after the account is closed. You also authorize us to conduct investigations necessary to verify your identity or protect you and/or us from financial crimes (such as fraud), either directly or through third parties.

The identity verification information we request may include, but is not limited to, your: name, email address, contact information, phone number, username, government-issued ID, date of birth, and other information collected during account registration. In providing such requested information, you confirm that such information is true and accurate. After registration, you must ensure that the information is true and complete, and update it promptly if there are any changes. If there is any reason to suspect that any information you provide is wrong, untrue, outdated or incomplete, Eggbit has the right to send you a notice, request corrections, directly delete the relevant information, and (as the case may be) terminate all or part of the services provided to you. If you cannot be contacted through the contact information provided, you shall bear full responsibility for any losses or expenses incurred during the use of the Service. You hereby acknowledge and agree that you are obliged to update all information at any time if there are any changes.

By registering an account, you hereby authorize Eggbit to conduct, directly or through a third party, any investigation that Eggbit deems necessary to verify your identity or protect you or Eggbit from fraud or other financial crimes, and to take any action that Eggbit deems necessary based on the results of the investigation. You also acknowledge and agree that your personal information may be disclosed to credit reporting agencies and fraud prevention or financial crime prevention departments, which may respond fully to our investigation.

c. Account Usage Requirements

An account can only be used by the account registrant. Eggbit reserves the right to suspend, freeze or cancel an account used by a person other than the account registrant. If you suspect or discover any unauthorized use of your username and password, you should notify Eggbit immediately. Eggbit is not responsible for any loss or damage caused by the use of your account by you or any third party (whether authorized by you or not).

d. Account Security

Eggbit has always been committed to maintaining the security of user entrusted funds and has implemented industry standard protections for the service. However, the actions of individual users will create risks. You agree to treat your access credentials (such as username and password) as confidential information and not disclose such information to any third party. You also agree to take the necessary security measures to protect the security of your own account and personal information.

You are solely responsible for keeping your Eggbit account and password, and are responsible for all transactions under your account. Eggbit shall not be responsible for any losses or consequences caused by the authorized or unauthorized use of your account credentials, including but not limited to information disclosure, information release, consent or submission of various rules and agreements by clicking on the website, online renewal agreement, etc.
By creating an account, you hereby agree that: (1) if you know that anyone has used your Eggbit account and password without authorization or has any other violation of security rules, you will immediately notify Eggbit; (2) you will strictly abide by the security, authentication, transaction, charging, exit mechanism or procedure of the website/service; (3) at the end of each visit, you will take appropriate steps to log out from the website; (4) if you register using other people's information, the income obtained will be regarded as illegal income, and Eggbit will not be responsible for any losses caused by it.

 

6. Guidelines for Use of the Service

 

a. License Subject to your continued compliance with the terms and conditions expressly set forth in these Terms of Use, Eggbit grants you a revocable, limited, royalty-free, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for your own personal, internal purposes through your computer or Internet-compatible device. You may not use the Service for resale or commercial purposes, including trading on behalf of another person or entity. All of the foregoing uses are expressly prohibited and constitute a material breach of these Terms of Use. The arrangement, format, functionality, and access rights of the Service shall be determined by Eggbit in its sole discretion. Eggbit hereby reserves all rights not expressly granted in these Terms of Use. Accordingly, you are hereby prohibited from using the Service in any manner not expressly authorized in these Terms of Use.

These Terms of Use only grant a limited license to access and use the Service. Accordingly, you hereby agree that Eggbit does not transfer any ownership or intellectual property rights in the Service or any of Eggbit's intellectual property to you or anyone else when you use the Service. All text, graphics, user interfaces, visual interfaces, photographs, sounds, artwork, computer code (including html code), programs, software, products, information and documentation, and the design, structure, selection, coordination, expression, "look and feel" and arrangement of any content contained in or made available through the Service, are exclusively owned, controlled and/or licensed by Eggbit or its members, parents, licensors or affiliates.

Eggbit will own any feedback, suggestions, ideas or other information or materials you provide via email, the Service or otherwise regarding Eggbit or the Service ("Feedback"). You hereby assign to Eggbit all right, title and interest in and to the Feedback and all related intellectual property rights. You will not be entitled to, and hereby waive, any claim for acknowledgment or compensation for any Feedback or any modifications made based on any Feedback.

b. Restrictions

When you use the Service, you agree and commit to comply with the following provisions:
During the use of the Service, all activities you carry out will comply with the requirements of applicable laws and regulations, as well as Eggbit's various guidelines;
iii. Your use of the Service will not violate the public interest, public morals or the legitimate interests of others, including taking any actions that will interfere with, disrupt, negatively affect or prohibit other users from using the Service;

You agree not to use these services for market manipulation (such as price manipulation, wash sales, self-trading, front-running, order stuffing, spoofing or layered orders, whether prohibited by law or not);

Unless Eggbit's written consent is obtained, the following commercial activities using Eggbit data are prohibited:

1) Trading services that use Eggbit quotes or market bulletin board information.

2) Data feeds or data streaming services that utilize any market data from Eggbit.

3) Any other website/application/service that charges for market data obtained from Eggbit or otherwise makes commercial profits (including through advertising or referral fees).

You may not modify, reproduce, duplicate, copy, download, store, further transmit, disseminate, transfer, decompose, broadcast, publish, remove or alter any copyright notices or labels, license, sublicense, sell, mirror, frame, rent, lease, private label, grant a security interest in, create derivative works from or otherwise exploit the Property or any part of the Property without Eggbit’s prior written consent.

You may not (i) use any “deep link,” “page scrape,” “robot,” “spider” or other automatic device, program, script, algorithm or methodology, or any similar or equivalent manual process to access, acquire, copy or monitor any part of the Property, or in any way reproduce or circumvent the navigational structure or presentation of the Service, to obtain or attempt to obtain any materials, documents or information through any means not intentionally made available through the Service; (ii) attempt to gain unauthorized access to any portion or feature of the Property, or any other systems or networks connected to the Service or to any Eggbit server or to any service offered through the Service, by hacking, password “mining” or any other illegitimate or prohibited means; (iii) probe, scan or test the Service or any part of the Property connected to the Service (iv) reverse lookup, trace or seek to trace any information of any other user of or visitor to the Service; (v) take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Service or Eggbit's systems or networks or any systems or networks connected to the Service; (vi) use any device, software or routine to interfere with the proper working of the Service or any transaction conducted on the Service, or any other person's use of the Service; (vii) forge headers, impersonate another person or otherwise manipulate identifiers to disguise your identity or the origin of any message or transmission you send to the Service, or (viii) use the Service in an unlawful manner.
By accessing the Service, you agree that Eggbit has the right to investigate any violation of these Terms of Use, determine unilaterally whether you have violated these Terms of Use, and take action to apply applicable regulations without your consent or prior notice. Examples of such actions include, but are not limited to:

Blocking and closing order requests
Freezing accounts

Account
Report incidents to authorities
Publish alleged violations and actions taken
Remove any information you post about violations

 

7. Orders and Service Fees

 

a. Orders

Upon placing an instruction to trade using the Service (an “Order”), your account will be immediately updated to reflect the open order and your order will be listed on Eggbit’s bulletin board to match other users’ orders. If your order matches in whole or in part with another user’s order, the Service will execute the exchange (a “Trade”). Once a Trade is executed, your account will be updated to reflect that the Order has been closed because it has been fully executed or updated to reflect that the Order has been partially fulfilled. An Order will remain open until fully executed or cancelled in accordance with clause (b) below. In order to enter into a Trade, you authorize Eggbit to temporarily control the assets you dispose of in the Trade.

b. Cancellation

You may cancel an Order initiated through the Service only before your Order is matched with another user’s order. Once your Order is matched with another user’s order, you may not change, revoke or cancel Eggbit’s authorization to complete the Order. If any order has been partially matched, you may cancel the unmatched portion of the order, but not if the unmatched portion has been matched. Eggbit reserves the right to reject any cancellation request related to an order after you submit it. If you do not have a sufficient amount of trading assets in your account to fulfill the order, Eggbit may cancel the entire order or fulfill the portion of the order that can be covered by the trading assets in your account (in each case, after deducting any fees payable to Eggbit related to the transaction, as described in Section (c) below).

c. Fees

You agree to pay Eggbit the prescribed fees, which Eggbit may update at any time in its sole discretion. Any updated fees will apply to any purchases, sales or other transactions occurring after the effective date of the updated fees. You authorize Eggbit to deduct any applicable fees owed by you under these Terms of Use from your account.

 

8. Contract Trading

 

a. Risks:

Contract trading is extremely risky. As a contract trader, you acknowledge and agree that you shall access and use the contract trading and borrowing services at your own risk:

The liquidity, market depth and trading dynamics of the trading market fluctuate violently and change rapidly. The use of leverage can work for you as well as against you, resulting in large losses as well as gains.

Under certain market conditions, you may find it difficult or impossible to close a position. This may happen, for example, due to insufficient market liquidity or due to technical problems with Eggbit.

A conditional order does not necessarily limit your losses to the intended amount, as market conditions may make it impossible for you to execute such an order.
There is no guarantee against losses in contract trading, and you may suffer losses in excess of the amount you deposit into your margin account.

b. Contract Trading:

You represent and warrant that you are neither from the United States nor Canada, nor on any trade or economic sanctions list, such as being designated as a "Specially Designated National" by OFAC (Office of Foreign Assets Control of the U.S. Department of the Treasury);

You should fully understand the risks associated with contract trading and lending, and be fully responsible for any trading and non-trading activities on your Eggbit account. Do not trade beyond your financial capacity;

You are solely responsible for understanding the true status of any position, even if Eggbit incorrectly displays this at any time;

You agree to maintain a sufficient amount of assets required by Eggbit in your Eggbit margin account for users to engage in contract trading and to repay your loan in full and on time. Failure to maintain sufficient assets or failure to repay outstanding loans on time may result in the forced liquidation of assets in your margin account;

Eggbit cannot guarantee stop losses even if it is able to force liquidate any position. If your assets are insufficient to pay the outstanding loan after your position is liquidated, you will still be responsible for any additional asset shortage;

Eggbit may, at its sole discretion, take measures on your behalf to mitigate your potential losses, including but not limited to transferring your margin account to your exchange account and/or from your exchange account to your margin account;

During the Eggbit system maintenance period, you agree to be solely responsible for managing your margin account at risk, including but not limited to closing positions and repaying your loans.

You agree to conduct all transactions, contract transactions and/or borrowings by your bank and take full responsibility for your activities. Eggbit is not responsible for any loss or damage arising from your use of any service or from your failure to understand the risks associated with the use of assets or your use of our services.

You understand that all open orders will be canceled immediately upon liquidation. You may lose all your positions and all funds in your futures account. If Eggbit is unable to close all positions upon liquidation, counterparty liquidation will take effect. Eggbit takes all possible measures to avoid counterparty liquidation in order to minimize its potential impact when any counterparty liquidation occurs. Unfortunately, due to the volatility of the market and the high leverage offered to customers, it is impossible to completely avoid this possibility. In order to provide the best customer experience possible, Eggbit is working hard to keep counterparty liquidation to a minimum.

Due to network delays, computer system failures and other possible force majeure factors, the execution of Eggbit's contract services may be delayed, suspended, terminated or deviated. Eggbit will try its best to guarantee but not promise the stability and effectiveness of the operation of the contract service execution system, but Eggbit does not assume any responsibility if the final execution result of the contract service is different from the customer's expectations due to the above factors.

c. Prohibitions in the contract:

Users are prohibited from using multiple accounts and devices for illegal arbitrage (including but not limited to handling fees, rebates, bonuses, hedging, etc.) (the system identifies user accounts through multi-dimensional features). The platform will take corresponding measures against users who are detected by the system to engage in illegal arbitrage (including but not limited to account blocking, asset freezing, login restriction, real-name authentication, etc.); in order to protect the normal trading experience of ordinary users, the platform reserves the right to exercise the following measures against users who are detected by the system to use ultra-short-term transactions (frequent opening and closing of ultra-short-term positions): immediately terminate your account and access to our servers, and deduct illegal income; invalidate all transactions that constitute ultra-short-term trading activities (i.e., treat the transactions as if they never occurred); close all transactions that constitute ultra-short-term trading activities according to our current market price; increase your position holding time (i.e., you can only close your position after holding it for a period of time). Eggbit strictly prohibits unfair trading practices, and Eggbit reserves the right to exercise executive control over your account at its sole discretion if you:
engage in price manipulation or any other malicious market behavior;
may harm other users or Eggbit by exploiting loopholes in the Service or other unreasonable means;
engage in any other activities that Eggbit deems harmful to the market.

 

9. Liability

 

a. Warranty Disclaimer

To the maximum extent permitted by applicable law, the Service, Eggbit's Materials, and any products, services or other items provided by or on behalf of Eggbit are provided on an "as is" and "as available" basis, and Eggbit expressly disclaims, and you also disclaim, all other warranties of any kind, whether express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, title or non-infringement or arising from course of performance, course of dealing, or usage of trade. Without limiting the foregoing, Eggbit makes no representations or warranties regarding the accuracy, completeness, reliability, validity, lack of errors, or freedom from viruses or other harmful components of the Site, the Service, or the Eggbit Materials. Eggbit does not guarantee that any order will be executed, accepted, recorded or remain outstanding. Except as expressly stated in this Agreement, you hereby acknowledge and agree that you have not relied on any other written or oral statements or agreements in connection with your use and access to the Service. Without limiting the foregoing, you hereby understand and agree that Eggbit shall not be liable for any loss or damage arising from or related to: (A) inaccuracies, defects or omissions in the underlying price data; (B) any errors or delays in the transmission of such data; (C) interruptions in such data, and (D) any damages caused by the acts, omissions or breaches of this Agreement by other users.
The disclaimers of implied warranties contained in this Agreement may not apply if prohibited by applicable law in the jurisdiction where you reside.

b. Disclaimer of Damages and Limitation of Liability

To the maximum extent permitted by applicable law, Eggbit, its affiliates, and their respective shareholders, members, directors, officers, employees, attorneys, agents, representatives, suppliers or contractors shall in no event be liable for any incidental, indirect, special, punitive, consequential or similar damages or liabilities (including, without limitation, loss of data, information, revenue, profits or other business or financial benefit) arising out of the Service, any performance or non-performance of the Service, or other products, services or other items provided by or on behalf of Eggbit and its affiliates, whether under contract, statute, strict liability or other theory, even if Eggbit has been advised of the possibility of damages, unless there is a final judicial determination that such damages were caused by Eggbit's gross negligence, fraud, willful misconduct or willful violation of law. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.
Notwithstanding the foregoing, in no event will the liability of Eggbit, its affiliates, and their respective shareholders, members, directors, officers, employees, attorneys, agents, representatives, suppliers or contractors arising out of or in connection with the Services, any performance or non-performance of the Services, or any other products, services or other items provided by or on behalf of Eggbit or its affiliates, whether based on contract, statute, strict liability or other theory, exceed the amount of fees paid by you to Eggbit under this Agreement immediately prior to the event giving rise to the claim for liability.

c. Indemnification

You agree to indemnify and hold harmless Eggbit, its affiliates, contractors, licensors, and their respective directors, officers, employees and agents from and against any claims, actions, proceedings, investigations, demands, suits, costs, expenses and damages (including attorneys' fees, fines or penalties imposed by any regulatory authority) arising out of or related to: (i) your use of or conduct related to the Service; (ii) your breach of these Terms of Service or our enforcement of these Terms of Service; or (iii) your violation of any applicable law, regulation or the rights of any third party during your use of the Service. If you are obligated to indemnify Eggbit, its affiliates, contractors, licensors and their respective directors, officers, employees or agents under these Terms of Service, Eggbit will have the right to control any action or proceeding in its sole discretion and determine whether Eggbit wishes to settle and, if so, on what terms.

 

10. Announcements

 

Please note that all official announcements, news, promotions, and contests will be posted on the Eggbit platform and we encourage all users to check these materials regularly. Eggbit will not be liable for any personal losses suffered by users due to ignorance or negligence of the announcements.

 

11. Termination of Agreement

 

You agree that Eggbit has the right to immediately suspend your account (and any account beneficially owned by an affiliated entity or affiliate), freeze or lock the funds in all such accounts, and suspend your access to Eggbit for any reason, including suspicion that any such account has violated these Terms of Use, our Privacy Statement or any applicable laws and regulations. You agree that Eggbit is not responsible for any permanent or temporary modification of your account, or suspension or termination of access to all or part of the Service. Eggbit has the right to save and use data or other information related to transactions in your account. The above account control may also apply to the following situations:
The account is subject to government proceedings, criminal investigations or other pending litigation;
We find unusual activities in the account;
We detect illegal access to the account;
We are required to do so by court order or order of regulatory/governmental authorities
If any of the following events occur, Eggbit has the right to terminate this Agreement directly by canceling your account, and has the right to permanently freeze (cancel) the authorization you granted to Eggbit for your account, and revoke the corresponding Eggbit account:
After Eggbit terminates the provision of services to you;
You are identified as registering as an Eggbit user again directly or indirectly under the name of any other person;
The information you provide is untrue, inaccurate, outdated or incomplete;
When modifying these Terms of Service, you clearly declare and notify Eggbit that you are unwilling to accept the modified terms;
You request to terminate the service; and
Any other circumstances that Eggbit believes should terminate the service.
If your account is terminated, the account and transaction information that meets the data retention standards will be securely stored for 3 months. In addition, if there are transactions that have not been completed during the account termination process, Eggbit has the right to inform your transaction counterparty of the situation at that time. You agree that user-initiated account withdrawals (right to erasure under GDPR or other equivalent legislation) will also be subject to the above termination agreement.
If Eggbit is notified that any funds in your account are stolen or are not lawfully owned by you, Eggbit may, but is not obligated to, exercise administrative control over the affected funds and your account. If administrative control over some or all of the funds or your account is necessary, Eggbit may continue to hold until the dispute is resolved and evidence of the resolution acceptable to Eggbit has been provided to Eggbit in a form acceptable to Eggbit. Eggbit will not participate in the resolution of any such dispute or dispute. You agree that Eggbit is not responsible for any such control, or your inability to withdraw funds or execute transactions during any control period.

a. Remaining Funds After Account Termination

Subject to clause (b) below, once an account is closed/cancelled, all balances on the account (including fees and debts owed to Eggbit) will be immediately payable to Eggbit. After paying all outstanding fees to Eggbit (if any), the user will have 5 business days to withdraw all funds from the account.
b. Remaining funds after the account is terminated due to fraud, illegality or violation of these Terms of Use
Eggbit reserves full custody of funds and user data/information, and may turn over such funds and user data/information to government agencies in the event of suspension/closure of an account due to fraud investigation, illegality investigation or violation of these Terms of Use.

 

12. Non-Financial Advice

 

Eggbit is not your broker, intermediary, agent or advisor, and has no fiduciary relationship or fiduciary obligations with you in any transaction or other decision or activity you make using the Service. Eggbit provides you with Any communication or information provided by Eggbit is not intended or should not be considered or construed as investment advice, financial advice, trading advice or any other type of advice. All transactions are automatically executed based on the parameters of your order instructions and the published transaction execution procedures. You shall be solely responsible for determining whether any investment, investment strategy or related transaction is suitable for you based on your personal investment objectives, financial situation and risk tolerance. You should consult a legal or tax professional for advice regarding your specific situation. Eggbit does not recommend that you buy, acquire, sell or hold any digital currency. Before making a decision to buy, sell or hold any digital currency, you should conduct due diligence and consult your financial advisor before making any investment decision. Users must also consider all aspects of taxation in accordance with local laws, including withholding, collection, reporting and remittance to their respective tax authorities. All users of Eggbit and any of its services confirm and declare that their funds are from a legal source and are not generated from illegal activities. Eggbit is committed to cooperating with law enforcement agencies around the world and will not hesitate to seize, freeze, or terminate user accounts and funds that are authorized by law to be cancelled or investigated.

15. Dispute Resolution: Venue of Arbitration, Arbitration, Class Action Waiver, Governing Law

a. Dispute Notice Please contact Eggbit first, we hope to resolve your concerns without resorting to formal legal proceedings. Before filing a claim, you agree to contact Eggbit through the official website to resolve disputes informally.

b. Arbitration Agreement You and Eggbit agree to resolve any claim related to this Agreement (including any issues related to the existence, validity, termination of this Agreement, or any services or products we provide and any statements we make) through final and binding arbitration, except as provided in the Arbitration Agreement Exceptions section below. You agree to first contact Eggbit in accordance with clause (a) above to provide us with an opportunity to resolve any claim. If we are unable to resolve your claim within 60 days of receiving notice, you may seek relief through arbitration or the Singapore Small Claims Tribunal (“SCT”) as provided below.

c. Arbitration Procedure You or Eggbit may submit a Dispute (after a Dispute has been resolved through friendly negotiation in accordance with clauses (a) and (b) above) for final settlement by binding arbitration in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC”) (incorporated into this Agreement by reference). The arbitral tribunal shall consist of a sole arbitrator appointed by the President of SIAC. The language of the arbitration hearing shall be English and the seat or legal place of the arbitration shall be Singapore. Judgment on any arbitration award may be entered in any court having jurisdiction over the party against whom the award is rendered (or over that party’s assets).

d. Exceptions Conversely, if the claim falls within the jurisdiction of the Singapore Small Claims Tribunal, either party may elect to assert the claim in the Singapore Small Claims Tribunal and either party may seek injunctive or other urgent equitable relief from a court of competent jurisdiction. However, for the avoidance of doubt, if a claim is not within the jurisdiction of the Singapore Small Claims Court, the claim will be referred to the Singapore International Arbitration Centre for final resolution.

e. Notice To commence arbitration proceedings, you must send Eggbit a letter requesting arbitration and describing the claim. If we request arbitration against you, we will provide notice to the email address or street address you provide.

16. Miscellaneous

 

a. Independent Parties Eggbit is an independent contractor and not your agent in the performance of these Terms of Use. These Terms of Use shall not be construed as evidence of a joint venture, joint venture, partnership or franchise between the parties.

b. Entire Agreement These Terms of Use constitute the entire agreement between the parties with respect to the use of the Service and supersede all prior written or oral agreements between the parties. The terms of these Terms of Use shall not be modified, interpreted, supplemented or altered by the use of trade or other usual course of dealing or methods of dealing between the parties.

c. Force Majeure Eggbit shall not be liable for any delay or failure to perform as required by these Terms of Use due to any cause or condition beyond Eggbit’s reasonable control.

d. Severability If any part of these Terms of Use is held invalid or unenforceable, such invalidity or unenforceability will not affect the other provisions of these Terms of Use, which will remain in full force and effect, and the invalid or unenforceable portion will be effective to the maximum extent possible.

e. Assignment You may not assign or transfer any right to use the Service or any of your rights or obligations under these Terms of Use without our prior written consent, including by operation of law or in connection with a change of control. Eggbit may assign or transfer any or all of its rights or obligations under these Terms of Use, in whole or in part, without notice or your consent or approval.

f. Waiver The failure of a party to require performance of any provision will not affect that party's right to require performance at any time thereafter, and the waiver of a breach of any provision of these Terms of Use or these Terms of Use will not constitute a waiver of any subsequent breach or violation or a waiver of the provision itself.
