Terms of Service and Privacy

This Agreement is entered into between you and Eggbit. Your access to and use of the Eggbit platform or any of its websites (www.eggbit.com), any services provided by mobile applications, or other related services provided by Eggbit or any of its affiliates as further described in Section 4 below (collectively referred to as the "Service"), constitutes your confirmation that you have read, understood and accepted all the terms and conditions set forth in this Terms of Use Agreement (hereinafter referred to as the "Terms of Use"), as well as our Privacy Statement published on the Platform. In addition, when using some features of the Service, you may also be subject to additional terms and conditions applicable to those features.
This Service Agreement sets forth the terms under which users can introduce third-party users to the Platform, and explains the Platform's obligations to you for inviting users, and explains your obligations to us under the invitation program provided by the Platform.

1. Commitment and Electronic Signature

You hereby acknowledge and agree: by using and/or sharing the unique user referral code and referral registration link or address designated by the platform on the platform's main website, continue to visit or use the platform's main website; by referring potential new users to the platform's main website to analyze and provide information about the platform and/or financial products; fully agree to comply with and be bound by all the terms and conditions set by the platform in this Service Agreement to supplement the applicable terms of service.
To the extent permitted by applicable mandatory law, you hereby waive any right to an original (non-electronic) signature or delivery or retention of non-electronic records required by any law or regulation in any jurisdiction.

2. User Invitation Terms and Written Guarantee

a. You and the invited user have all necessary authority to sign and be fully bound by this Service Agreement, and he/she has taken all necessary measures in this regard. The user confirms that he/she/it can sign this Service Agreement and has the approval and/or authorization and/or qualifications required by local regulations to provide the services mentioned in this Service Agreement.
b. As the inviting party, you must always provide the Platform with true and complete information; including but not limited to contact information, the nature of the user intermediary activities carried out to introduce, explain and/or promote the financial services provided by the Platform to potential users, and any other information that the Platform may request.
c. You or the user you invite has no right to authorize, and may not in any way impersonate Eggbit to provide any investment advice to the introduced user on behalf of the Platform.
d. The user is obliged to notify the introduced user of any commission received and any other commission related to the services provided under this Service Agreement when necessary.
e. You may not use the Platform logo in any communication, including but not limited to use in any business card or any electronic transmission method, unless expressly authorized by the Platform.
f. You and the user you invite promise that he/she shall not register a platform containing the word "Eggbit" and shall not register or operate a domain name containing the word "Eggbit" in its name.
g. You and the users you invite represent and warrant that he/she will not place promotional materials related to the Platform on any website, nor use any media or medium containing materials, including but not limited to websites that meet the following conditions: (1) promote (including linking to) pornographic materials, violence or illegal activities; (2) promote discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; (3) manipulate keyword searches on portals and/or search engines that conflict with the Platform website; (4) misrepresent yourself as the Platform's main website by selecting the visual "appearance" or text of the Platform's main website, or otherwise infringe the Platform's intellectual property rights, including but not limited to "scraping" text or images from the Platform's main website or banners and/or text links, search marketing or all other online and offline campaigns managed by the Platform; (5) include "Eggbit" or its variations or misspellings in the user's domain name; (6) do not clearly provide an online privacy policy to its website visitors; (7) are offensive or inappropriate as determined by the Platform in its sole discretion. h. Users shall not authorize or encourage any third party to:
(1) directly or indirectly exploit the online services provided by the platform through any automatic, deceptive, fraudulent or other invalid means (including but not limited to through repeated manual clicks), use robots or other automated tools and/or computer-generated queries, and/or unauthorized use of other search engine optimization services and/or software;
(2) edit, modify, filter, truncate or change the order of information contained in any part of the platform's main website, or delete, obscure or minimize any part of the platform's main website in any way without the platform's authorization;
(3) obscure, minimize or otherwise block any website that users access after clicking on any part of the platform's main website; full display of the page;
(4) redirect any user outside the main website of the platform;
(5) provide any web page version on the main website of the platform that is different from the page accessed by the end user directly visiting the main website of the platform; insert any content between the main website of the platform and the applicable target web page on the main website of the platform; or otherwise provide any web page or any website directly linked from the user's website to the relevant landing page on the main website of the platform approved by the platform in accordance with this service agreement;
(6) directly or indirectly access, start and/or activate access to the online services provided by the platform through or from any software application, website or recommendation, or otherwise merge access to or referrals to the online services provided by the platform. Other means other than its website, and only to the extent expressly permitted by this Service Agreement;
(7) "Crawling", "crawlers", indexing or storing or caching in any non-temporary manner information obtained from or related to any user solicited from, identified as and/or referred to and/or recommended to the Platform Main Website;
(8) Acting in any manner that violates the various policies posted on the Platform Main Website, which may be amended from time to time, or contained in any other agreement between the Affiliate Platform and the Platform (including but not limited to this Service Agreement);
(9) Propagating malware;
(10) Distributing malicious software on the Platform; After the User breaches this Service Agreement and terminates this Service Agreement with the User, create a new account to register for the Platform's User Plan;
(11) Engage in any behavior or practice that reflects poorly on the Platform or disparages or devalues ​​the Platform's reputation and/or goodwill.
i. Except as otherwise expressly provided in this Service Agreement, and then only within the prescribed scope, the User is prohibited from sending emails, text messages, MMS, or group messages to promote the Platform, the Platform's main website, the Platform's User Plan and/or the online services provided by the Platform.
j. In addition, you expressly acknowledge and agree that the Platform will not participate in supporting or condoning a large number of unsolicited emails. Emails (e.g., spam, desktop scrapbooks) to promote the Platform, the Platform's main website, the Platform's user programs and/or the online services provided by the Platform. You and the users you invite also expressly acknowledge and agree that he/she/will also abide by this policy.
k. You and the users you invite acknowledge and agree that any attempt to participate in or violate any of the above acts constitutes a material breach of this Service Agreement, and the Platform may, at its sole discretion, seek any and all applicable legal and equitable remedies against you and the users you invite, including immediately suspending the associated user account on the Platform and/or immediately terminating this Service Agreement without prior notice, and/or Seek all available civil or criminal remedies.
i. The Affiliate Platform further represents and warrants that its website and any materials displayed thereon: (1) comply with all applicable laws and regulations, statutes, ordinances and other applicable rules; (2) do not violate, and have not violated, any obligations or rights owed to any person or entity, including, but not limited to, intellectual property rights, rights of publicity or privacy, or rights or obligations under consumer protection, product liability, tort or contract; and (3) do not involve pornography, hate or other violence.
m. You and the user you invite acknowledge and confirm that he/she has an existing user base or is influential/KOL with the audience. According to the Eggbit User Commission Schedule, each commission level requires an active trading user. Registering as a user to generate commissions for a self-service trading account and/or using multiple accounts as active users violates the Eggbit User Terms and is subject to a user account ban. Eggbit reserves the right to adjust and/or delete commissions generated at its sole discretion.
n. The use of search engine marketing techniques (such as bidding for the Eggbit brand name in any search engine) is strictly prohibited and Eggbit reserves the right to terminate user accounts without prior notice.
o. Strictly abide by and guarantee:
(1) Clearly inform users of trading risks, and do not use illegal means such as promised returns and proxy trading to invite users to register;
(2) Do not use false propaganda, such as fictitious profit charts, fictitious profitable users and other illegal methods to attract users;
(3) Do not use harassing promotion such as bombing groups, telephone marketing, traffic advertising, batch Weibo private messages, etc. to maintain the image of the platform;
(4) The platform only accepts digital token transfers, and shall not collect any legal currency from users, or exchange legal currency and digital tokens with users;
(5) It is strictly prohibited to provide trading advice to users, including Including any form of publicity, guidance, instruction and advice;
(6) Do not use invitation rebates to conduct illegal arbitrage, including but not limited to self-invitation, multi-account arbitrage, and brushing trading users;
(7) Do not attract users to register by slandering or exaggerating the scandals of friendly companies, and create a fair and good market environment;
3. Rights and obligations of users
a. Without affecting the obligations you and your invited users have under this Service Agreement, this platform is not responsible for any suggestions, recommendations or decisions you and your invited users provide to the introduced users, and does not assume any responsibility.
b. In order for a user to be eligible for any commission related to the introduction of a user, all requirements set out in this Service Agreement must be met, and the user must ensure that the introduced user uses the unique user referral link/code of his/her user to open an account on the platform.
c. If you and the users you invite establish a website to promote their business, the following features and information should be included in order to identify and determine suitable opportunities:
(1) There should be a link that directs potential users to the platform's main website;
(2) The platform's information and/or logo and/or slogan should be visible to potential users;
(3) An accurate description of the platform's products should be provided to provide users with specific information about the platform's financial products and services so that users can enter into an agreement with the platform.
d. Users must obtain the platform's approval before uploading any information or features related to the platform and its services.
e. The platform may, at its sole discretion, accept or reject any user introduced by you and the users you invite, and has the right to terminate its business relationship with any user at any time. All data related to the user's account opening on the platform will remain the sole and exclusive property of the platform, and unless expressly provided in this Agreement, the affiliated platform shall not be entitled to such information by signing this service agreement.
f. Subject to the terms and conditions of this Service Agreement and the terms and conditions of this Agreement, you and the users you invite agree that all referral activities for potential users to the platform must be professional, appropriate and legal in accordance with applicable rules or laws.
4. Rights and obligations of the platform
a. The platform guarantees to pay you fees in a timely manner for the commissions invited in accordance with the provisions of this Service Agreement.
b. The platform is responsible for calculating and paying the user's commission.
c. In the event of any dispute or user complaint, the platform has the right to retain any commission related to the user until these issues are resolved.
d. If the platform finds that the trading activities of any user introduced by you are abused, the platform reserves all rights, including but not limited to immediately suspending or terminating the account of the associated platform, at the sole discretion of the platform.
